MARKETING AND WEBSITE SERVICES AGREEMENT

This Marketing and Website Development Services Agreement ("Agreement") is made between the party making a payment ("Client") and Mayarie.com ("Service Provider").

1. SERVICES

The Service Provider offers a range of individually tailored services which may include, but are not limited to, website development, design services, advertising services through various platforms, and search engine optimization services. The specific services provided to the Client will be detailed on the issued invoice.

2. COMPENSATION AND PAYMENT TERMS

Upon receipt of the invoice, the Client agrees to pay the Service Provider the amounts specified in the invoice in return for the services rendered. Payment of the invoice constitutes acceptance of the terms outlined in this Agreement. Payments are due within the timeframe specified on the invoice. Accepted forms of payment will be outlined on the invoice.

3. LATE PAYMENT

Any payments not received by the due date will accrue a late payment fee of a percentage or flat fee (as specified on the invoice) per period defined.

4. REFUND AND CANCELLATION POLICY

Refunds for fees paid for services are permissible within a forty-eight (48) hour period following payment, provided no work has been initiated by the Service Provider. Beyond this period, all fees are non-refundable. For the purposes of this Agreement, work commencement is defined as the initiation of any form of communication or correspondence related to the provision of the services.

5. DISPUTE RESOLUTION

Any disputes arising out of this Agreement shall first be addressed through mediation, with an agreed-upon third-party mediator, prior to any litigation. If mediation does not resolve the dispute, it may be taken to a competent court in the state of Connecticut.

6. SERVICE TERMINATION

The Service Provider may terminate the service under this Agreement upon a notice period (as defined on the invoice) to the Client for non-payment of fees. Upon termination, all outstanding fees become immediately due and payable.

7. GOVERNING LAW

This Agreement shall be interpreted, construed, and enforced in accordance with the laws of the State of Connecticut, without regard to its conflict of law rules.

8. ENTIRE AGREEMENT

This Agreement, upon payment of the invoice by the Client, constitutes the entire agreement between both parties concerning the subject matter herein and supersedes any prior agreements, whether written or verbal, related to said subject matter.
